Our methodology
Family protocol
This document, also known as family constitution or magna carta, is a set of provisions, procedures, mechanisms, and agreements that regulate the relationship between the family and the business. It addresses topics such as family commitment, the incorporation of family members into the business and their compensation policy, conflicts of interest, control and management of assets, governance, and management succession.
Governance policy
“For Latin American companies, governance is the most important factor in strategic execution. In all our processes, it is the ‘backbone’ to ensure the strategic transformation of a company.”
A Board of Directors that applies modern governance practices is essential to ensure not only that a company maintains direction and makes objective decisions for the business, but also ensures the implementation of agreements made by a family or shareholders in relation to the company.
In Latin America, Boards of Directors, which are the central point of all Governance, often lack clear roles and functions, have low involvement of directors or, alternatively, inconvenient co-administration, and lack the discipline and commitment for effective management.
Our processes address all these issues by evaluating and redefining the overall role and most important specific functions of the Board of Directors, as well as other governance bodies of the company.
Success cases
We successfully worked with a family-owned company, where we were contacted by the founder who struggled for 10 years to achieve a successful management succession. The result was consolidating the family legacy and ensuring business continuity.
A Costa Rican family-owned company successfully implemented a high-level Board of Directors for 15 years. The formation of this structure allowed for better decision-making, greater control and transparency in management, and the professionalization of the company.
Clear rules were established for the entry of family members into the business and for how they are compensated.
Rules were established for managing conflicts of interest among members of an Ecuadorian family and business collaborators.
